Stackpack Referral Program – Offer Terms & Conditions
By participating in the Referral Program (the “Program”) made available by Stackpack Inc. (“Stackpack”), you (“you”) agree to be bound by these Referral Program Terms (these “Terms”). If you do not agree to these Terms, please do not participate in the Program.
Eligibility: To be eligible to participate, you must: Be at least 18 years old and a resident of the United States; Not be an employee, contractor, or agent of Stackpack or its affiliates; Refer third
parties in good faith who are not already customers, prospects, or otherwise known to Stackpack. In addition, you agree not to: Misrepresent your relationship with Stackpack; Make false or. misleading statements about Stackpack’s services; Use spam, unsolicited commercial email, or other deceptive means to solicit referrals; Refer yourself or your employer, or use the Program
for fraudulent or commercial bulk referral purposes.
Stackpack reserves the right to withhold, cancel, or claw back any reward issued in violation of these Terms.
A “Qualified Referral” is a third party who: i) Participates in a product demonstration with Stackpack following an introduction by you (the “Intro Meeting”); ii) is not an existing customer, past customer, or known prospect of Stackpack as of the referral date (as determined by Stackpack in its sole discretion); and iii) has not already been referred to Stackpack by another person or entity.
A “Qualified Customer” is a Qualified Referral that signs up for an annual commitment with Stackpack for the Stackpack Services pursuant to Stackpack’s Terms of Service
(https://www.stackpack.co/terms-of-service) or other written customer agreement between Stackpack (the “Customer Agreement”).
Rewards: For each Qualified Referral, Stackpack will provide you with $104.00 gift card within thirty (30) days following the Intro Meeting. For each Qualified Customer, Stackpack will provide you with a gift card with a value equal to one month subscription revenue under the Customer Agreement. The gift card will be provided within thirty (30) days after Stackpack receives payment from the Qualified Customer.
Tax Responsibility: You are solely responsible for all federal, state, and local taxes, and any other costs or expenses associated with any reward you receive under this Program. Stackpack does not provide tax advice and will not withhold or remit any taxes on your behalf. You should consult your own tax advisor regarding the tax implications of participating in the Program. If the value of rewards you receive exceeds applicable thresholds under U.S. tax law, Stackpack may be required to issue an IRS Form 1099-MISC or other applicable tax reporting form. You agree to provide Stackpack with any information necessary for tax reporting purposes, including a completed IRS Form W-9 or similar documentation, upon request.
Program Changes and Termination: Stackpack may modify, suspend, or terminate the Program or these Terms at any time, with or without notice. Stackpack will honor Rewards for Qualified Referrals or Qualified Customers made prior to the date of such change or termination, subject to compliance with these Terms.
Limitation of Liability: To the fullest extent permitted by law, Stackpack disclaims all liability for any indirect, incidental, special, or consequential damages arising out of or in connection with the Program. In no event shall Stackpack’s aggregate liability to you exceed the total amount of rewards paid to you under the Program. Stackpack makes no guarantees or representations as to the number or value of rewards you may receive, and your participation in the Program is at your sole discretion and risk.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Participation in the Program does not create any employment, partnership, agency, or joint venture relationship between you and Stackpack. You may not assign or transfer any rights or obligations under these Terms without Stackpack’s prior written consent. Stackpack may freely assign or transfer these Terms without restriction. The failure of Stackpack to enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by Stackpack. If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and Stackpack with respect to the Program and supersede all prior or contemporaneous communications and understandings, whether oral or written, relating to the Program.
